We started the in-depth analysis of legal issues and the prospects of their application to different business environments and business development projects at the very dawn of the Internet in Italy in 1999, by applying them to legal consultancy for company internationalisation projects.
We have successfully resolved numerous cases regarding highly challenging profiles by using the skills we have acquired in matters of Intellectual Property Rights, such as brand protection against the improper use of keywords and tags for SEO placement of e-commerce websites or cases of unfair competition by meta-tagging on “html” pages, in collaboration with digital forensic experts.

  • Our client: an Italian company, a global market leader, in the manufacture of high-quality sportswear.
    Task: Legal consultancy and assistance, reviewal of the contract proposed by the proprietor and licensor of the software for the service and support, as well as the implementation of, a non-disclosure agreement applicable to our client’s employees. Our client required total control of all production phases, carried out in their own facilities in Italy as well as in facilities belonging to third parties and located worldwide. The matter at hand was of great importance and extremely complex, but the central administration in Italy managed to obtain the expected results through the use of Product Lifecycle Management (or PLM) Software which allowed them to control all access worldwide.

    Task: Legal consultancy and assistance in matters of strategic business planning and drafting a data storage services agreement, privacy policy and website development agreement with the house aimed at developing an e-commerce platform.

    Task: Legal aid and assistance in the defense against and opposition to unfair online competition initiatives (meta-tagging), including the unlawful, misleading and ‘parasitical’ use of our client’s trademark carried out by former employees. Our Law Firm collaborated with a digital forensic examiner in order to provide a perfectly integrated solution.

    Task: Legal opinion about the correct use and management of AdWords, and their use by third parties retailers – and related limitations. Our client, the producer and trademark holder, requested the regulation of the use of all AdWords connected with the trademark and the definition of all cases when limitations should be applied, and of the nature and the extension of such limitations. A deep analysis was carried out on the EU Competition Law, the EU Antitrust Regulations, and on all the related cases and action for damages filed before the EU Court; various useful parameters were suggested.

    Task: Legal consultancy and assistance in contract drafting, with a focus on the protection of the confidential information disclosed to clients.
  • Our client: a renowned Italian corporation, a designer, producer and distributor of top-end components for racing bikes.
    Task: Legal consultancy and assistance with a study on e-commerce strategy for foodstuff distribution in Italy and Germany (for athletes and runners), its organisation, policies, guidelines and sales contracts, involving privacy issues and online consumer protection in compliance with the consumer rights, considering food market liability.

    Task: Legal aid and assistance in a dispute with a software house on matters of negligence and delays in the implementation of an innovative, tailor-made management software.
  • Our client: an Italian company operating in the fashion and luxury industry.
    Task: Legal consultancy and assistance on delicate matters of debt collection from a French company, which had gone bankrupt and had not settled the payment owed to our client. The initial solution to the issue, suggested by its French counterpart, was an agreement which the Bressan Law Firm analysed and dissuaded our client from accepting. This agreement carried a considerable risk which could have damaged our client immensely, since it involved acquiring what the French call a “fond de commerce”, leading to initially unexpected liabilities and expenses for our client. The thorough analysis of French Corporate Law carried out by our team, with special attention to bankruptcy laws, allowed us to prevent our client from signing a complicated agreement, which would have seriously undermined his interests and could have even resulted in an insolvency procedure.

    Task: Legal aid and assistance in dispute over online copyright violation: the unauthorized publication of photographs on website; online misconduct and conflict of jurisdiction (competent court) in the settlement of the dispute, aspects of both Private International Law and domestic legislation (competent court of the injured party or of the perpetrator; applicable Law of the State where the upload server is located, etc.)
